In 2013 Florida Statutes Chapter 605, the Florida Revised Limited Liability Company Act, was adopted. Mirroring most provisions of the Revised Uniform Limited Liability Company Act, it will eventually supplant the Florida Limited Liability Company Act now found in Chapter 608. In light of these recent changes this Fundinar will review the general principles related to limited liability companies with a focus on the insurable title aspects of ownership of real property. Among the topics covered will be new terminology; the relationship between the articles of organization, the operating agreement, records filed with the Department of State, and the Florida Statutes; statutory provisions which may not be altered by the operating agreement; delegation of authority to non-members; provisions which require unanimous agreement; and requirements for insuring title.
