Welcome to Conferize. Conferize enables businesses and individuals all over the world to create, manage and promote their events by using the online web platform conferize.com and related websites (the Platform) and the service in connection with the Platform (the Services) provided by Conferize (Conferize A/S, DK 34472742 registered in Denmark).

The Terms of Service consist of terms governing the relationship between the organizers of events and Conferize (the Organizer Terms) and terms governing the relationship between the individuals attending the event and the organizer – and the relationship between the attendees and Conferize (the Attendee Terms).

Besides the above mentioned the Terms of Service also includes an EU Data processing addendum.

The Organizer Terms

These general terms and conditions (the Organizer Terms) shall govern the contractual relationship between the user of the Platform and the Services (the Organizer) and Conferize. These terms regulate solely the relation between Conferize and the Organizer and do not constitute any rights or undertakings for any third party, including any attendee (the Attendee) to the events on the Platform.

In the case of multiple users with login to the same organizer account, the following terms shall apply to all users individually.By signing up for an account on Conferize and creating events on the Platform you (Organizer) accept the following Terms. If you do not agree to be bound by these terms, please do not sign up to the Platform.

Entering Into An Agreement

  • By subscribing to or using the Platform and/or the Service you expressly acknowledge and agree that you are entering into a legal agreement (Agreement) with Conferize.
  • You warrant, that you are legally authorized to enter into this Agreement in your jurisdiction. If you are entering into this Agreement on behalf of an entity, you further warrant that you are authorized to enter into this Agreement on behalf of such entity.

Your Account

  • In order to use the Platform and the Services, you are obligated to create an account on the Platform (the Account). All events created, managed or promoted by you are tied to the Account (your Events).
  • You are obligated to use a valid email address for your Account, that you check frequently. You acknowledge that all information from Conferize with no exception will be sent via the provided email address.
  • You are obligated to ensure, that all information provided to Conferize on registration of your Account is true, complete and correct, and you are obligated to update all information as it changes.
  • You are solely responsible for keeping access to your Account and password safe, and you agree to accept responsibility for all activities that occur under your account or password. You must notify us immediately of any unauthorized use of your Account.
  • Your account is not deleted unless you specifically ask us to do so – or you are in violation of these terms.

Data Controlling And Data Processing

  • You acknowledge that by using the Platform for any form of processing personal data, you are a Data Controller in relation to the General Data Protection Regulation (GDPR) (EU/2016/679) – and Conferize is in that respect your Data Processor. Conferize will assist you as set forth in the EU data Processing Addendum.
  • The section of the Terms of Service EU data Processing Addendum sets out the rights and obligations that apply to Conferize’s handling of personal data as a Data Processor on behalf of the event organizer as a Data Controller.
  • As Data Controller you are ultimately responsible for the collection and storage of data, and you are to ensure compliance with data protection and privacy laws, hereunder GDPR.
  • Conferize’s Privacy Policy always applies.

Subscription And Payment

  • You commit to pay for the use of The Platform and the Services in accordance with the currently published pricelist on the Conferize website. Any use of the Platform and the Services is conditioned upon your payment.
  • Your subscription continues until you cancel it, or it is terminated by Conferize. You can cancel at any time effective from next coming term.
  • By purchasing and starting to use a paid feature, you authorize Conferize or its third-party payment processors to charge the credit card or other payment method identified by you, which you represent and warrant that you are authorized to use.
  • Any fees charged are non-refundable. You agree to submit any dispute regarding any charge to your account in writing to Conferize within thirty (30) days of the charge, otherwise, that dispute will be waived, and the charge will be final and not subject to challenge. Refunds (if any) made pursuant to a dispute, are at the discretion of Conferize.
  • You are responsible for paying any governmental taxes imposed on your use of the Platform and the Service, including but not limited to sales-, use-, or value-added taxes.
  • If your payment method for any paid service fails or your account is past due Conferize reserves the right to either suspend or terminate your access to one or more features or your account with Conferize.

Use of Conferize

  • You undertake to use the Platform and the Services as intended for creating, managing and promoting Events.
  • The use of the Platform and the Service in connection with your Account and your Events, including but not limited to comments and interaction with and/or between you and your end users (End Users), is your sole responsibility.
  • You are solely responsible for complying with all applicable laws and any other contractual terms which govern your use of the Platform and the Services, including any specific laws to you or your end users (End Users).
  • You undertake to use the Platform in accordance with any currently policies published on the Conferize website.
  • You agree not to hack, remove, circumvent, disable, damage or otherwise interfere with the Platform and the Services.You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Platform or any part thereof.
  • You agree not to modify, adapt, translate or create derivative works based upon the Platform or the Services.
  • You agree not to use the Platform defaming, harassing, abusing, threatening or defrauding other people. Conferize is the sole judge on whether such a behavior is conducted.
  • You agree not to post, upload or distribute content that could be deemed offensive, objectionable, indecent, pornographic or otherwise inappropriate. Conferize is the sole judge on the nature of the content in question.
  • You agree not to use the Platform for collecting personal information about other organizers or other organizers’ End Users – or for collecting other data related to other organizers’ events.
  • You are obligated to inform Conferize of any possible misuse of the Platform and the Services immediately without delay.
  • You are obligated to inform Conferize of any claims arising from your or your End Users use of the Platform immediately without delay.
  • You are obligated to indemnify Conferize from any claims arising from illegal use of the Platform and/or the Service in connection with your Account or events tied to your Account.
  • Any suspicion of misuse or illegal use entitles Conferize to close or suspend your Account immediately without any further notice or delete content related to the Account.

Your Content

  • You are solely responsible and liable with respect to any content uploaded or content used in connection with your Account (Your Content) either by you or your End Users, hereunder comments.
  • You are solely responsible for ensuring, that Your Content at all time adheres to all applicable laws.
  • You confirm that you have all rights in and to Your Content, including but not limited to any designs, images, animations, videos, audio files, fonts, logos, code, illustrations, compositions, artworks, interfaces, usernames, information you provide for the purpose of creating a subdomain name, text, literary works and any other materials, or otherwise have (and will continue to have) the full power, title, licenses, consents and authority, in and to Your Content, as necessary to legally access to, import, copy, use, publish, transfer or license such Your Content, by you, Conferize and/or your End Users.
  • You are obligated to indemnify Conferize from any claims of third parties based on illegal use of content on the Platform and/or the Services in connection with your Account and your Events.
  • Any alleged infringement on copyright or other third-party rights entitles Conferize to close or suspend your Account immediately without any further notice or delete content related to the Account.
  • Any information regarding your Events including but not limited to event description, marketing material, design and set-up, amount of available tickets, payment methods is your sole responsibility. Conferize has no influence regarding this information and it is your duty to verify the presented information.
  • You allow that Your Content is to be shared across the Platform and the Services.

Your Events And Ticketing

As part of setting up an event, you can set-up, promote and sell tickets.

  • Any tickets sold to your Events are issued and sold by you as the Organizer with Conferize as a third-party service. Any disputes on terms of sales, refunds, fees, taxes, tax deduction, and any other issues regarding the transactions between the ticket buyer (Ticket Buyer) and the Organizer must be handled and settled directly as a matter between the Organizer and the Ticket buyer.
  • Conferize is in no way responsible for any loss in relation to tickets sales or the participation of events, nor for any cancellation of events, or changes to the schedule or other event components, that the Ticket Buyer might have expected at the time of purchase. Conferize does not offer a service to refund tickets. If an event is canceled any refund must be issued directly from the Organizer to the Ticket Buyer.
  • In order to sell tickets the Organizer must have a Payment Service account (Paypal or Stripe). For each sold ticket the purchasing amount is transferred to the Organizer’s Payment Service account (Paypal or Stripe) after an agreed registration fee has been deducted. The registration fee is non-refundable.
  • Payment service fees and additional registration service fees on ticket sales are subject to change.

Our Content

  • Some content in our service is owned by or licensed to us. This includes the design, layout, and graphics. Reproduction is prohibited.
  • The name Conferize and belonging logo(s) and other brand elements are trademarks and may not be copied, altered or redistributed without permission.

Limited Warranty And Disclaimers

  • The Platform and the Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind. Conferize does not make any warranties about the reliability, availability, security or accuracy of the Platform and the Services to you or any of your End Users.
  • Conferize does not warrant that the Platform and the Services will be continuous or uninterrupted. Conferize take no responsibility for the Platform or the Services being temporarily unavailable due to technical issues beyond our control.
  • Conferize does not warrant that the Platform and the Services will operate free of errors, that the Platform will be free of viruses or other harmful code. Conferize does not warrant that any errors on the Platform will be corrected.
  • Conferize does not warrant that the Platform and the Services will meet yours or your End Users’ requirements.
  • Conferize is not responsible or liable for any late delivery or delay or failure of performance caused in whole or in part by Your delay in performing, or failure to perform, any of Your obligations under this Agreement.

Termination

  • Conferize is entitled to terminate this agreement if the Organizer has contravened against important provisions of these Organizers Terms.
  • Conferize is entitled to terminate this Agreement if the Organizer in some way or another is not able to fulfill his contractual obligations against Conferize, including but not limited to the Organizer has filed for bankruptcy, insolvency proceedings have been started or the start of the insolvency proceedings have been dismissed in default of assets.

General

If any provision of these Organizer Terms is, for any reason, invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace an invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent and economic effect of the invalid and/or unenforceable provision. This also applies to contractual loopholes.

These Terms and the contractual relationship shall be governed by Danish Law and disputes shall be settled by Danish courts.

The Attendee Terms

These General Terms and Conditions (the Attendee Terms) governs the relationship between the individual attending the event (the Attendee) and the organizer (the Organizer) – and the relationship between the Attendee and Conferize.

By signing up for an event and/or buying a ticket on one of the websites provided by Conferize, you (Attendee) accept the following Terms. If you do not agree to be bound by these Attendee Terms, please do not register for the event and/or use the Platform or the Services.

Entering Into An Agreement With Conferize

  • By subscribing to or using the Platform and/or the Services you expressly acknowledge and agree that you are entering into a legal agreement (Agreement) with Conferize.
  • You warrant that you are legally authorized to enter into this Agreement in your jurisdiction. If you are entering into this Agreement on behalf of an entity, you further warrant that you are authorized to enter into this Agreement on behalf of such entity.

Your Account

  • In order to attend events hosted on the Platform you need to create an account on the Platform (an Account).
  • You are obligated to use a valid email address for your Account, that you check frequently. You acknowledge, that all information from Conferize with no exception will be send via the provided email address.
  • You are obligated to ensure, that all information provided to Conferize on registration of your Account is true, complete and correct, and you are obligated to update all information as it changes.
  • You are solely responsible for keeping access to your Account and password safe, and you agree to accept responsibility for all activities that occur under your account or password. You must notify us immediately of any unauthorized use of your Account.
  • Your account is not deleted unless you specifically ask us to do so – or you are in violation of these terms.

Data And Privacy

  • Conferize’s Privacy Policy always applies.
  • The section of the Terms of Service EU data Processing Addendum sets out the rights and obligations that apply to Conferize’s handling of personal data as a Data Processor on behalf of the event organizer as a Data Controller.

Events And Tickets – A Contract With The Organizer

  • By purchasing a ticket or in any other way signing up for an event held by the Organizer using the Platform or The Services, a contract (Contract) is created solely between the relevant Attendee and the relevant Organizer regarding attendance at the event.
  • Additional terms regarding purchasing a ticket and/or attending an event set by the Organizer might apply. It is your sole responsibility to orient yourself in any additional terms before purchasing a ticket and/or attending.
  • Any tickets sold to you are issued and sold by the Organizer of the event with Conferize as a third-party service. Any disputes on terms of sales, refunds, fees, taxes, tax deduction, and any other issues regarding the transactions between you and the Organizer must be handled and settled directly as a matter between you and the Organizer.
  • Conferize does not offer a service to refund tickets. If an event is canceled any refund must be issued directly from the Organizer to you.
  • The total price for a ticket may exceed the stated ticket price. The price for a ticket is based on the price defined by the Organizer, registration fees and payment fees in connection with the Organizer’s Payment Service Account. Attendees pay all incurred international payment fees or exchange rate differences.
  • The total price of the tickets including all fees is immediately due for payment.

Use Of Conferize

  • You undertake to use the Platform as intended for attending events.
  • You agree not to hack, remove, circumvent, disable, damage or otherwise interfere with the Platform and the Services.
  • You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Platform or any part thereof.
  • You agree not to modify, adapt, translate or create derivative works based upon the Platform or the Services.
  • You agree not to use the Platform defaming, harassing, abusing, threatening or defrauding other people. Conferize is the sole judge on whether such a behavior is conducted.

Termination

  • Conferize is entitled to terminate this agreement if the Attendee has contravened against important provisions of these Attendee Terms.

General

Eu Data Processing Addendum

Special Responsibilities under the General Data Protection Regulation (GDPR).

When you create events and become an event organizer through our services, you become a data controller in relation to the GDPR, and Conferize is your data processor.

This section of the Terms of Service sets out the rights and obligations that apply to Conferize’s handling of personal data as a Data Processor on behalf of the event organizer as a Data Controller.

The data processing will take place with regards to the relevant personal data regulation, hereunder but not limited to the General Data Protection Regulation (GDPR) (EU/2016/679).

Conferize shall only process the personal data relating to the event organizer’s use of the services on documented instructions from the event organizer unless processing is required under EU or Member State law to which Conferize is subject. The instructions are set out in the Terms of Service and the Privacy Policy.

Conferize ensures that only those persons who are authorized to do so can access the personal data being processed on behalf of the event organizer.

Event organizers generally agree that Conferize can engage another processor (subprocessor) and Conferize ensures that the Subprocessor is subject to the same data protection obligations as those specified in these terms of service and the privacy policy. We will inform the event organizers of planned changes, additions or replacement of the subprocessors so that the event organizers can object to such changes by canceling their subscription to our services.

The event organizers’ may, at their own discretion and by their own providing of the legal requirements, transfer of data to third countries or international organizations, and we will assist the event organizers in doing so by their request, or if we are obliged to do so under EU or Member State law to which we are subject.

Conferize will assist the event organizers in ensuring compliance with the event organizers’ obligations pursuant to Articles 32-36 of the General Data Protection Regulation considering the nature of the processing and the data made available to us, cf. Article 28, sub-section 3, para f.

We shall, as far as possible, considering the nature of the processing, assist the event organizers with appropriate measures, in the fulfillment of the event organizers’ obligations to respond to requests for the exercise of the data subjects’ rights pursuant to Chapter 3 of the GDPR.

As Data Processor, Conferize shall, per request from event organizers, within reasonable time, make available to the event organizers all information necessary to demonstrate compliance with the obligations laid down in Article 28 of the GDPR and this section of the Terms of Service. Conferize will allow for and contribute to audits, including inspections performed by the event organizer or another auditor mandated by the event organizer. Conferize reserves the right to charge event organizer a reasonable fee for assisting with providing such information and/or audits.

Conferize shall take all the measures required pursuant to Article 32 of the GDPR which stipulates that with consideration for the current level, implementation costs and the nature, scope, context, and purposes of processing and the risk of varying likelihood and severity for the rights and freedoms of natural persons, the Data Controller and Processor shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk.

On termination of the processing services, we are obliged to erase or return all the personal data to the event organizer shall be under obligation, at the event organizer’s discretion, and to erase existing copies unless EU law or Member State law requires storage of the personal data.
